Terms and Conditions

1. INTRODUCTION

1.1 Welcome to DishPatch ("we," "us," or "our"), a food delivery marketplace operating in Enugu, Nigeria. These Terms and Conditions ("Terms") govern your use of our website, mobile application, and services (collectively, the "Platform").

  

1.2 By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Platform.

  

2. DEFINITIONS

2.1 "Customer" refers to any individual or entity that places an order through the Platform.

  

2.2 "Vendor" refers to any restaurant or food service provider that offers meals through the Platform.

  

2.3 "Delivery Personnel" refers to individuals or companies that provide delivery services through the Platform.

  

2.4 "User" refers to any Customer, Vendor, or Delivery Personnel using the Platform.

  

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement: You must be at least 18 years old to use the Platform.

  

3.2 Account Creation:

   a) Customers must provide a valid email address and phone number.

  

   b) Vendors must provide email, phone number, restaurant details, and bank account information. They must also complete a video call verification process.

  

   c) Individual Delivery Personnel must provide email, phone number, next of kin details, bank information, driver's licence, and a personal photograph.

  

   d) Delivery Companies must provide coverage areas, company information, driver's licence of the registrant, CAC company registration, email, and bank details.

  

3.3 Account Responsibility: You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

  

4. PLATFORM SERVICES

4.1 DishPatch provides a platform that enables:

  

   a) Customers can browse menus, place orders, and arrange delivery from various Vendors.

   b) Vendors list their menus, receive orders, and fulfil them.

   c) Delivery Personnel to accept and fulfil delivery requests.

  

4.2 DishPatch does not prepare food or provide delivery services directly. We act as an intermediary between Customers, Vendors, and Delivery Personnel.

  

5. ORDERING AND PAYMENT

5.1 Order Placement: Customers may place orders through the Platform for items listed by Vendors.

  

5.2 Pricing and Fees:

   a) Food prices are set by Vendors and may differ from in-restaurant prices.

  

   b) Delivery fees are calculated at a rate of 250 Naira per kilometre.

   c) DishPatch charges a 4% commission to Vendors for each order.

   d) DishPatch charges a 40% commission to Delivery Personnel for each trip.

  

5.3 Payment Processing: Customers must provide valid payment information for each order. By submitting an order, you authorise DishPatch to charge the full amount to your payment method.

  

6. CANCELLATION AND REFUND POLICY

6.1 Order Cancellation: Once an order is placed, it cannot be cancelled through the Platform.

  

6.2 Payment Obligation: Even if a Customer attempts to cancel an order, they will still be obligated to pay for the meal, as it is assumed the Vendor has begun processing the order.

  

6.3 Vendor Communication: Customers may reach out directly to Vendors to inquire about the status of their order, but this does not guarantee cancellation or refund.

  

7. USER CONDUCT AND OBLIGATIONS

7.1 Customers agree to:

   a) Provide accurate and complete information when placing orders.

   b) Pay for all orders placed through their account.

   c) Be present at the delivery location to receive orders.

  

7.2 Vendors agree to:

   a) Provide accurate menu information, including prices and available items.

   b) Prepare food in compliance with all applicable health and safety regulations.

   c) Fulfil orders in a timely manner as indicated on the Platform.

   d) Maintain high standards of food quality and packaging.

  

7.3 Delivery Personnel agree to:

   a) Deliver orders in a timely manner.

   b) Handle food safely and maintain appropriate temperature during transit.

   c) Interact professionally with Customers and Vendors.

   d) Comply with all traffic laws and regulations.

  

7.4 All Users agree not to:

   a) Use the Platform for any illegal or unauthorised purpose.

   b) Violate any laws in your jurisdiction.

   c) Interfere with or disrupt the Platform or servers or networks connected to the Platform.

   d) Harass, abuse, or harm another person through the Platform.

   e) Create a false identity on the Platform.

  

8. INTELLECTUAL PROPERTY

8.1 The Platform and its original content, features, and functionality are owned by DishPatch and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  

8.2 Users may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.

  

9. LIMITATION OF LIABILITY

9.1 DishPatch is not responsible for:

   a) The quality of food prepared by Vendors.

   b) The timeliness or quality of delivery services provided by Delivery Personnel.

   c) Any injury, loss, or damage resulting from the consumption of food ordered through the Platform.

  

9.2 In no event shall DishPatch, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

  

10. DISPUTE RESOLUTION

10.1 User Disputes: Any disputes between Users (Customers, Vendors, or Delivery Personnel) should be reported to DishPatch administration.

  

10.2 Resolution Process: DishPatch will review reported disputes and may:

   a) Facilitate communication between the parties.

   b) Investigate the matter using available Platform data.

   c) Make a determination based on our policies and the information provided.

  

10.3 Final Decision: DishPatch reserves the right to make final decisions on all disputes, which may include refunds, account suspensions, or other actions deemed appropriate.

  

11. MODIFICATIONS TO THE PLATFORM AND TERMS

11.1 DishPatch reserves the right to modify or discontinue, temporarily or permanently, the Platform or any service to which it connects, with or without notice.

  

11.2 We may revise these Terms from time to time. The most current version will always be posted on the Platform. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised Terms.

  

12. GOVERNING LAW

12.1 These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

  

12.2 Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
